Terms of Service

These Terms of Service (the "Terms") govern access to and use of exports.bd (the "Platform"), operated by Marketsync Global Ltd., a private limited company incorporated under the Companies Act, 1994 (Act XVIII of 1994), with registration number RAJC-2483/2025 and registered office at Kashidanga City Gate, Rajpara, Rajshahi-6201, Bangladesh ("we", "us", "our").

1. Acceptance

By creating an account, posting content, or otherwise using the Platform, you agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy and our Cookie Notice. If you do not agree, you must not use the Platform.

2. Eligibility

You represent that you are at least 18 years old, have full legal capacity, and — if acting on behalf of a company — are authorised to bind that company to these Terms. Both buyers and exporters must comply with applicable export-control, sanctions, anti-money-laundering, tax and trade laws in Bangladesh, the destination country, and any transit jurisdictions.

3. Role of the Platform

exports.bd is a neutral technology venue that helps buyers and exporters discover each other, exchange RFQs and quotes, structure deals, and generate trade documents. We are not a party to any contract of sale, freight, insurance, letter of credit, or payment between users. We do not take title to goods, do not act as an escrow agent, and do not guarantee performance by any user.

4. Accounts & security

You are responsible for all activity under your account, for maintaining the confidentiality of your credentials, and for notifying us promptly of any suspected unauthorised access at security@exports.bd. We may suspend or terminate accounts that violate these Terms or applicable law.

5. User content & listings

You retain ownership of the products, RFQs, quotes, messages, images and documents you upload ("User Content"). You grant us a worldwide, royalty-free, non-exclusive licence to host, reproduce, transmit, index and display User Content solely to operate, secure and improve the Platform. You warrant that your User Content is accurate, non-infringing, and lawful.

6. Fees

Core listing, RFQ and matching features are provided free of charge during the current phase. Any paid features will be disclosed in advance and priced in the currency shown at checkout. Where fees apply, taxes (including VAT/GST where required) are your responsibility unless expressly stated.

7. Prohibited items & conduct

You must not use the Platform to trade goods that are illegal, sanctioned, counterfeit, unsafe, or otherwise restricted under Bangladeshi law or the law of the destination country. Full detail is set out in the Acceptable Use Policy.

8. AI-generated content

The Platform uses machine learning to suggest HS codes, draft narratives, and rank matches. These outputs are informational and non-binding. You remain solely responsible for verifying HS classifications, valuations, product safety, and regulatory compliance with a qualified professional before shipment.

9. Disclaimers

The Platform is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure.

10. Limitation of liability

To the maximum extent permitted by law, Marketsync Global Ltd. and its officers, directors, employees and agents shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, data, goodwill, or business opportunity, arising from or related to your use of the Platform. Our aggregate liability for direct damages shall not exceed the greater of (a) fees you paid us in the twelve (12) months preceding the claim, or (b) USD 100.

11. Indemnity

You agree to indemnify and hold harmless Marketsync Global Ltd. against any third-party claim arising from your User Content, your transactions with other users, or your breach of these Terms or applicable law.

12. Termination

Either party may terminate this agreement at any time. We may suspend access immediately for suspected fraud, security incidents, or serious breach. Sections that by their nature should survive termination (including 5, 9, 10, 11, 13, 14) will survive.

13. Governing law & dispute resolution

These Terms are governed by the laws of Bangladesh. The parties will first seek to resolve any dispute in good faith. Failing that, disputes shall be finally settled by arbitration seated in Dhaka under the rules of the Bangladesh International Arbitration Centre (BIAC), or — at our sole option — brought before the Courts of Rajshahi, Bangladesh.

14. Changes

We may update these Terms from time to time. Material changes will be notified by email or in-app notice at least seven (7) days before they take effect. Continued use after the effective date constitutes acceptance.
